Why this website is not the offer
Units in Anchor Rock Investment Fund - I are offered only by private placement to eligible investors, under the Private Placement Memorandum. That is why this website describes the firm, its people and its approach, but not the commercial terms of the Fund.
The distinction is deliberate. An offer has to be complete, with the risks set out alongside the strategy and the costs alongside the intent. A web page cannot carry that, and it should not try.
The Private Placement Memorandum
The Private Placement Memorandum is the offering document. It sets out the strategy, fees, tenure, risk factors and investor rights. It is the document to read in full, and to read before anything is signed.
It is also where the numbers live. Fees, the minimum commitment, the tenure and the distribution waterfall are set out there and in the definitive fund documents, and nowhere else.
The Contribution Agreement
The Contribution Agreement records the investor's commitment to the Fund and the terms on which it is made. It is the document an investor signs to invest, and it deserves the same care as the memorandum.
The SEBI (AIF) Regulations, 2012
The SEBI (Alternative Investment Funds) Regulations, 2012 are the framework under which the Trust is registered as a Category III AIF. They set the rules the Fund and its Manager operate within, including the regulatory reporting and the records the Fund must maintain.
The Regulations are public, and anyone can read them. Registration particulars, including the SEBI registration number, should be verified against the current filings before they are relied upon.
Take independent advice
Prospective investors must read the Private Placement Memorandum and the Contribution Agreement in full and take independent legal, tax and financial advice before investing. Readers are responsible for compliance with the laws of their own jurisdiction.
A Category III Alternative Investment Fund may use leverage and complex strategies. Investment carries risk, including the possible loss of capital, and there is no assurance of return.
